These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Melody Box Limited, a company registered in England and Wales (“Melodio,” “Company,” “we,” “us,” or “our”), governing your access to and use of the website at https://melodio.co (the “Site”) and our AI-powered personalised song generation services (the “Service”).
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Site.
We reserve the right to modify these Terms at any time by updating the “Last Updated” date above. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
The Service is intended for users who are at least 18 years old. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are under 18, you may not use or register for the Service.
To access certain features of the Service, you must create an account using Google OAuth. By registering, you agree to provide accurate, current, and complete information associated with your Google account.
You are responsible for maintaining the security of your account and for all activities that occur under your account. You must not share your account credentials or allow others to access your account. You agree to notify us immediately at support@melodio.co if you become aware of any unauthorised use of your account.
We reserve the right to suspend or terminate your account at our sole discretion, without prior notice, for any reason, including but not limited to breach of these Terms. Upon termination, your right to access the Service ceases immediately. Any unused credits at the time of termination are forfeited and non-refundable, unless termination is solely due to our error.
Melodio is an AI-powered platform that generates personalised songs based on your text prompts. The Service uses artificial intelligence technology, including third-party AI models, to create lyrics and audio content. You provide a text description (such as a person's characteristics, an occasion, or a theme), and the Service generates original song content based on your input.
You acknowledge and agree that:
We strive to maintain the availability of the Service but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We shall not be liable for any loss or inconvenience caused by Service downtime.
The Service operates on a credit-based system. Certain actions within the Service (such as generating and unlocking songs, extending songs, applying covers, replacing sections, creating mashups, generating videos, and using the Persona feature) require credits.
Credits are available to buy outright or through a subscription. Prices are shown on the Site at the time of purchase and are charged in the currency displayed to you, which may vary by country.
We set all prices, credit amounts, and what each plan includes at our sole discretion, and we may change them at any time — including introducing, retiring, or repricing plans and one-time purchases. Changes take effect for purchases made after the change and never reduce credits you have already bought, which remain yours on the terms you bought them under. If you hold an active subscription when its price or contents change, the terms you subscribed on continue for your current paid period; any change applies from your next renewal, and you are free to cancel before it. Promotional and member pricing is offered at our discretion and may be withdrawn at any time.
All payments are processed securely by Stripe. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy. You agree to provide current, complete, and accurate billing information for all purchases.
If you purchase a subscription plan, you authorise us (via Stripe) to charge your chosen payment method on a recurring basis at the applicable billing interval until you cancel. You may cancel your subscription at any time. Upon cancellation:
To cancel your subscription, manage your billing through the Site or contact us at support@melodio.co.
If you live in Quebec, you can also cancel online at any time with the “Cancel my subscription” (“Résilier mon abonnement”) button in your account Settings. If a renewal payment has failed when you cancel this way, your subscription ends straight away and the unpaid amount is not collected.
If you are not satisfied with a purchase, contact us at support@melodio.co within 30 days of that purchase and we will refund its unused portion to your original payment method. The unused portion is worked out as follows:
Credits that have already been spent (for example, on unlocking songs, edits, covers, or videos) are not refundable. After the 30-day window, purchases become final. This guarantee is in addition to, and does not limit, any non-waivable statutory rights you may have in your country of residence.
If you experience a technical issue that prevents delivery of purchased content (e.g., a generation failure where credits were deducted but no content was produced), please contact us at support@melodio.co, and we will investigate and may, at our sole discretion, restore the affected credits.
The Service may offer free previews of generated content (e.g., roughly half of a generated track). Free previews are provided for evaluation purposes only and are subject to the same content restrictions described in these Terms.
The Site, including its design, source code, software, text, graphics, logos, and trademarks (collectively, “Our Content”), is owned by or licensed to Melody Box Limited and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit Our Content without our prior written permission.
Upon payment and full unlocking of a song (i.e., spending the required credits), you are granted a non-exclusive, worldwide, perpetual licence to use, download, share, and distribute the unlocked audio content for both personal and commercial purposes, subject to the following conditions:
Content that has not been unlocked (e.g., free preview clips) may not be downloaded, recorded, or used outside the Site.
You retain ownership of the text prompts and descriptions you provide to the Service. By submitting a prompt, you grant us a non-exclusive, worldwide, royalty-free licence to process your input solely for the purpose of generating and delivering content through the Service.
You agree not to use the Site or Service to:
We reserve the right to investigate and take appropriate action against any violations, including suspending or terminating your account and reporting illegal activity to law enforcement.
Any suggestions, ideas, feedback, or other communications you submit to us regarding the Service (“Feedback”) are non-confidential and become our property. We may use, reproduce, and distribute Feedback for any purpose without obligation or compensation to you.
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
We do not warrant that AI-generated content will be accurate, complete, original, non-infringing, or suitable for any particular purpose. AI-generated songs may unintentionally resemble existing copyrighted works. You are solely responsible for evaluating and assuming all risks associated with the use of any generated content, including any reliance on its accuracy, completeness, or suitability.
Nothing on the Site constitutes legal, financial, or other professional advice. You should seek independent advice before relying on any information or content obtained through the Service.
To the maximum extent permitted by applicable law, in no event shall Melody Box Limited, its directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount paid by you to us in the six (6) months preceding the claim, or (b) fifty pounds sterling (£50).
Nothing in these Terms shall exclude or limit liability for: (i) death or personal injury caused by negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited under applicable law.
You agree to indemnify, defend, and hold harmless Melody Box Limited, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any third-party rights; or (d) any content you generate through the Service and your subsequent use of that content.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiations between the parties for a period of at least thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer resident in the United Kingdom or the European Union, nothing in these Terms affects your statutory consumer rights that cannot be waived or limited by contract, including your rights under the Consumer Rights Act 2015 (UK).
If you are an Australian consumer, our Service comes with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). Nothing in these Terms purports to modify or exclude the conditions, warranties, and undertakings implied by the Australian Consumer Law. If the Australian Consumer Law applies, then to the extent that we are entitled to limit our liability, our liability is limited to the re-supply of the Service or the payment of the cost of having the Service re-supplied.
If you are a Canadian consumer, nothing in these Terms affects your statutory consumer protection rights under applicable federal or provincial legislation.
The Service relies on and integrates with third-party services, including but not limited to Google (authentication), Stripe (payments), and various AI technology providers. We are not responsible for the availability, accuracy, or conduct of any third-party services. Your use of third-party services is subject to their respective terms and policies.
By creating an account or using the Service, you consent to receive electronic communications from us, including service-related emails, account notifications, and updates. You agree that electronic communications satisfy any legal requirement that such communications be in writing.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Melody Box Limited regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. A waiver of any provision shall be effective only if made in writing and signed by an authorised representative of Melody Box Limited.
We may assign or transfer our rights and obligations under these Terms to any third party without your consent. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay arises from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet disruptions, or third-party service outages.
